About us

Register of Enterprises of the Republic of Latvia (hereinafter – the Register of Enterprises) is an administrative state institution entrusted with registration of enterprises (business companies), their branches and agencies on the territory of the Republic of Latvia and carrying out other activities provided for in the law. The Register of Enterprisess operating under the supervision of the Ministry of Justice.

Structure

The structure of the Register of Enterprises comprise its administration and departments. The Register of Enterprises is managed by the Chief State Notary who is appointed to and removed from the office upon the recommendation of the Minister of Justice by the Cabinet of Ministers. The Chief State Notary of the Register has 4 deputies with competence determined by the Chief State Notary. The Enterprise Register has the central apparatus providing registration and other functions in Riga Region as well as organizing the work of 8 regional divisions: in Bauska, Daugavpils, Jēkabpils, Liepāja, Rēzekne, Saldus, Valmiera and Ventspils.

Registration of the entities subject to registration is carried out in accordance with the procedure prescribed in normative acts by:

  • Chief State Notary of the Register of Enterprises;
  • Deputy Chief State Notaries of the Register of Enterprises;
  • State Notaries of the Register of Enterprises.

In the matters concerning the operation of the Register of Enterprises, the State Notaries of the Register of Enterprises report directly to the Chief State Notary of the Register of Enterprises. The Chief State Notary of the Register of Enterprises is entitled to:

  • Issue binding instructions to the State Notaries of the Register of Enterprises on the application of this Law;
  • Cancel unmotivated or illegal decisions made by the State Notaries of the Register of Enterprises;
  • Pass instead their own decision.

Operation of the Enterprise Register is governed by the Law On the Enterprise register of the Republic of Latvia, the Regulations Concerning the Enterprise Register approved by the Cabinet of Ministers, and other normative acts.

Functions

Registration is the principal function of the Register of Enterprises. The performance of this function also ensures uniform public record of the entities subject to registration. The following entities are subject to registration with the Register of Enterprises in accordance with the requirements of various laws:

  1. merchants;
  2. sole proprietorships;
  3. peasants’ farms;
  4. fishers’ farms;
  5. cooperative enterprises;
  6. societies;
  7. establishments;
  8. mass media;
  9. agencies without the right to engage in commercial activities;
  10. trade unions;
  11. political organizations (parties);
  12. commercial pledges;
  13. property relations of spouses;
  14. concession agreements;
  15. courts of arbitration;
  16. decisive influence;
  17. European economical interest groups;
  18. European business companies (SE).

Another function is exercising of state control over the compliance of foundation and operation documents of the entities subject to registration with the laws and other normative acts.

The third function is providing information about the registered entities. To provide information about business operations, the Register of Enterprises is collecting and keeping the annual accounts of the enterprises (business companies), merchants, non-government organizations, trade unions, societies and establishments.

Apart from the above-mentioned functions, the Register of Enterprises is entrusted with a number of other functions in accordance with various laws and other normative acts. The Register of Enterprises has to:

  • report to corresponding government authorities on certain infringements of law or provision of untruthful data to Register of Enterprises for calling the culprits to justice in accordance with the law;
  • summarize the date provided for in the law about enterprises (business companies) or merchants, and forward the same to publishing;
  • ensure exchange of information with government and municipal authorities in the manner and according to procedure prescribed by the Cabinet of Ministers;
  • authorize experts to evaluate fixed capital of joint-stock companies and property investment of commercial companies;
  • authorize auditors to verify reorganization agreements of merchants;
  • draw up reports on administrative breaches;
  • perform the functions of administrator and liquidator in the insolvency proceedings of enterprises and business companies;
  • convene or cause to be convened members’ meetings of enterprises (business companies) or merchants.

If the document or commercial pledge file number is entered into the website of the Register of Enterprises http://www.ur.gov.lv box «SEKOT DOKUMENTAM/ KOMERCĶĪLAI», one can verify issuing date of the document, duration of considering and whether or not certain resolution has been made in respect thereof.

Moreover, it is currently possible to file by electronic means a commercial pledge application (as long as the Law on Electronic Documents has not been actually put into operation, an application in paper form also has to be filed with the Register of Enterprises). The system for registration of commercial pledges is currently linked with the database of Road Traffic Safety Board (providing registration of transport vehicles), State Technical Supervision Board (providing registration of tractors and other agricultural machines), State Pedigree Record Processing Center (registration of anumals), Civil Aviation Air Craft Register of the Ministry of Transport in order to link up the databases of the above-listed authorities with the Commercial Pledge Register and therefore enable operative check of ownership title to the pledged items.
